Georgetown Partners, now opposes the merger as it seems they are not getting their free spectrum.

Walter Ulloa, Chairman and Chief Executive Officer of Entravision Communications Corporation; Chester C. Davenport, Managing Director of Georgetown Partners L.L.C.; Cleveland A. Christophe, Managing Partner of TSG Capital Group; Barry A. Friedman, partner at Thompson Hine LLP and counsel to Entravision, and the undersigned met with Commissioner Jonathan Adelstein, Rudy Brioché and Shawn Donilon. The discussion was consistent with Georgetown’s filings previously submitted in this docket strongly urging that the proposed merger be denied.

This is to notify you that on June 26, 2008, David Siddall, counsel to Georgetown Partners L.L.C., met with Elizabeth Andrion, Acting Legal Advisor for Media Issues to Chairman Martin. Mr. Siddall discussed Georgetown Partners’ opposition to the proposed merger. The discussion was consistent with Georgetown’s filings previously submitted in this docket.

On June 26, 2008, David Rehr and Marsha MacBride of the National Association of Broadcasters (“NAB”) met with Commissioner Jonathan Adelstein, Rudy Brioché and Shawn Donilon. Mr. Rehr and Jane Mago of NAB also met with Commissioner Deborah Taylor Tate, Wayne Leighton and Amy Blankenship to discuss the proposed merger of Sirius Satellite Radio, Inc. (“Sirius”) and XM Satellite Radio Holdings, Inc. (“XM”).

this letter notifies the Commission that on June 26, 2008, Mel Karmazin, Chief Executive Officer of Sirius Satellite Radio Inc. (“Sirius”) and Richard E. Wiley of Wiley Rein LLP, counsel for Sirius, met with Commissioner Deborah Taylor Tate, Amy Blankenship, and Wayne Leighton to discuss pending issues raised in recent filings in the above-referenced proceeding, including the previously filed voluntary commitment letter. Mr. Karmazin and Mr. Wiley reiterated positions consistent with Sirius’ filings in this proceeding, and urged prompt approval of the pending merger.
